WARRANTY The manufacturer’s standard warranty covers the equipment and mechanisms inside the purchased cabinets for two years, except where other warranties apply to the purchased products. This warranty becomes effective upon full payment, including all installation costs, and delivery to the Purchaser.
DELIVERY DATE The delivery date provided is approximate and subject to delays caused by strikes, fires, acts of God, or other circumstances beyond the Seller’s control, as well as the availability of the product and/or materials at the time of delivery.
DELIVERY ACCEPTANCE The Purchaser agrees to accept delivery of the product(s) when they are ready. If the Purchaser postpones delivery, payment in full is required immediately for storage fees. Cabinets will be stored at a cost of $500 per month. Storage fees must be paid monthly after the first month until delivery is accepted.
CHANGES AND CANCELLATIONS The Purchaser understands that the products described are specially designed and custom-built, and that the Seller takes immediate steps upon execution of the Agreement to design, order, and construct those items set forth herein; therefore, this Agreement is not subject to cancellation or changes by the Purchaser for any reason. Any change accepted by Italvave will be subject to additional charges.
OTHER VENDORS No installation, plumbing, electrical, flooring, decorating, or other construction is to be provided by Italvave or its sub-contractors unless specifically set forth herein or in a separate Agreement. The Italvave Installation Agreement must be signed and returned to Italvave.
OWNERSHIP Title to the items sold pursuant to the Agreement shall not pass to the Purchaser until the full price set forth in this Agreement is paid to the Seller.
PAYMENT DELAYS Delays in payment shall be subject to interest charges of 1.5% per month, and in no event shall exceed the interest rate provided by law. If the Seller is required to engage the services of a collection agency or an attorney, the Purchaser agrees to reimburse the Seller for any reasonable amounts expended in order to collect the unpaid balance.
AGREEMENT ACKNOWLEDGEMENTS If a tribunal declares any provision of this agreement invalid, the remaining provisions of the Agreement shall not be affected. This Agreement sets forth the entire transaction between the parties, and all prior agreements, warranties, or representations made by either party are superseded by this Agreement. All changes to the Agreement shall be made by a separate document and executed with the same formalities. No agent of the Seller, unless authorized in writing by the Seller, has any authority to waive, alter, or enlarge this contract or to make any new or substituted or different contracts, representations, or warranties.
The Seller retains the right, upon breach of this Agreement by the Purchaser, to sell those items in the Seller’s possession. In effecting any resale on breach of this Agreement by the Purchaser, the Seller shall be deemed to act as an agent for the Purchaser. The Purchaser shall be liable for any net deficiency on resale.
The Seller agrees that it will perform this contract in conformity with customary industry practices. The Purchaser agrees that any claim for adjustment shall not be a reason or cause for failure to make payment for the purchase price in full. Any unresolved controversy or claim arising from or under this contract shall be settled by arbitration, and judgment upon the award rendered may be entered in any court of competent jurisdiction. The arbitration shall be held under the rules of the American Arbitration Association in the State of Florida. The Purchaser assumes all responsibility for fees resulting from the neglect of payment, including but not limited to lawyer fees, court/arbitration costs, postage fees, and bounced check fees.
ADDITIONAL TERMS A 75% deposit is required to process all orders. Italvave accepts bank checks, personal checks, Visa, MasterCard, and Discover with imprint. Post-dated checks are not accepted. A $50.00 service charge applies for checks returned for non-sufficient funds. The balance is due three business days before delivery. If not paid, delivery will be canceled and rescheduled only after full payment.
Italvave allows a three-day grace period from the date of order acknowledgment for changes or cancellations. After that, the order will be processed, and deposits are non-refundable.
Italvave is not responsible for the fit or application of materials specified by the customer and field-measured by an Italvave representative. Italvave is not responsible for natural imperfections and color variations in real wood cabinets.
The customer or authorized representative must be present at the delivery site to sign, date, and unload the merchandise. If assistance is unavailable, cabinets will be returned for the next scheduled delivery, and a $500.00 charge will apply. If Delivery is to be canceled a $500.00 fee will apply for storage fee.
Claims for shortages, errors, or visible damages must be noted on the shipping ticket at delivery and reported to an Italvave representative within 24 hours of shipment. Quantities for parts are estimated at the quote time; therefore, moldings, hardware, and extra parts are non-returnable. Custom-made cabinets cannot be returned or exchanged.
Merchandise is non-returnable unless defective. Defective items must be returned within five days of delivery, uninstalled, and in the original box. Replacement items will be exchanged. Italvave will determine if replacement or refinishing is warranted. Credits, including shipping and restocking fees, are at Italvave’s discretion.
Warranty on cabinets is as specified. No warranty covers damage from external issues or interference by another company. The warranty only extends to single-family, non-rental homes and excludes damage from misuse, abuse, neglect, improper storage, installation, transportation, moisture, and heat. The manufacturer may repair or replace defective materials at its discretion, covering only parts and materials, not installation or removal costs. Natural factors will alter cabinets over time, and exact color matching is not guaranteed.
